MassBarEducatesBeginning Jan. 1, 2024, the federal Corporate Transparency Act (CTA) requires certain privately held corporations, limited liability companies and other registered entities to report their ownership to the Federal Crimes Enforcement Network (FinCEN). This law may change how we advise our clients regarding entity formation and private holding companies. As attorneys who form entities for clients, our personal information may be reported to FinCEN, and some law firms may be reporting entities.

This presentation will provide an overview of the law, focusing on issues such as: 

  • Defining terms such as reporting companies' beneficial owners and company applicants 
  • Explaining the reporting process 
  • Addressing civil and criminal penalties for failure to report 
  • Providing advice on how to prepare for the implementation of this regulation
