The A.W. Chesterton Company is a medium-sized, vertically-integrated, established and growing manufacturer of industrial fluid sealing systems and process industry specialty chemicals.  We operate on a global basis and have a well-earned reputation for innovate engineering and high quality products. 

 

Growth and other positive changes have created the need to add to our legal team.  As Counsel, you will provide direct support to the VP/General Counsel in managing the legal affairs of the company and assist in the effort to provide effective legal counsel to the Company’s managers and employees on a broad array of subjects. You may also work with outside counsel on certain matters, especially litigation.

 

Counsel will be responsible to

 

  • Conduct legal research, draft documents and conduct factual inquiries at the direction of the Vice President/General Counsel.
  • Draft, or review the drafting done by others outside the Company, of contracts and other legal documents including or affecting leases, licenses, purchases, sales, real estate, employment and other and related matters as directed. 
  • Keep current on legislative issues, statutes, decisions, and other important legal developments that may affect Company interests.
  • Prepare and assist in the preparation of litigation discovery responses and conduct internal investigations as needed for such responses and the defense of litigation matters.

 

This is an excellent opportunity for someone with 2-4 years of appropriate experience to grow into a varied corporate role.  Initially you will provide direct support to the VP/General Counsel and gain experience in a broad range of domestic and global corporate legal areas.  Over time, the issues you deal with will become progressively more complex from both a business and legal point of view.

 

The position requires a bright, critical thinker with strong written and verbal communication skills and an interest in developing as a corporate generalist.  The position also requires:

 

  • Excellent academic credentials from a respected law school
  • Admission to the practice of law in Massachusetts
  • Knowledge of and ability to apply established legal theories, concepts and techniques gained through 2-4 years of experience in a law firm or corporate setting in areas such as contracts, employment, commercial transactions and civil litigation
  • Experience that must include civil litigation, basic contract formation, the use of negotiation skills, and legal writing
  • Strong business acumen
  • Strong forensic (investigative and risk assessment) instincts and skills
  • Effective problem solving and decision making skills
  • Use of MSOffice and other business software.
  • Fluency in English required.  Fluency in other languages a plus (French, German, Spanish, Portuguese, Japanese, Chinese, etc)
