Bowditch & Dewey, LLP, ranked among the largest law firms in Massachusetts, has an opening in its Boston office for a Finance Paralegal.  Responsibilities will include:

Bond Transactions (tax-exempt and taxable financings for non-profit and for-profit borrowers):  Due diligence and schedule preparation; UCC filings; TEFRA process; issuer resolutions; status certificates; certificate drafting; draft authority opinions and votes, closing agendas; manage closing process; prepare transcripts.  Real Estate duties include research with Registry of Deeds.

Transactions (financing asset sales, stock sales, mergers and acquisitions):  Due diligence and schedule preparation; UCC filings; lien searches; status certificates; document drafting; draft authority opinions and votes. 

General Corporate:  Domestic and foreign profit, nonprofit, professional incorporations, amendments, qualifications, mergers and dissolutions including MA-DOR and IRS filings; LCC organization and LLP registration; MA foreign qualifications, amendments and withdrawals; miscellaneous votes and change certificates; annual meetings or consents; annual reports and tax exempt applications, maintenance of entities in Corporate Focus. 

Other:  Manage marketing function for public finance practice area including responding to RFPs and updating marketing brochure; track tax-exempt market in Massachusetts.

Qualified candidates must have excellent interpersonal and writing skills; knowledge of basic accounting principles; and good computer skills.  Bachelor’s degree, paralegal certificate or comparable, related experience required.  Real Estate background helpful.  This is an excellent opportunity to work in a professional, team-oriented environment.  Competitive salary and benefits package.
